These books are not uploaded as a set. Inspection is at the office. A filing does not close the book.

  • Members

    Section 88

    The entry in this register is what makes a person a member. SH-4 stays with the company. The Registrar does not keep it.

  • Directors and key managerial personnel

    Section 170

    Name, DIN, and the date of appointment or cessation. DIR-12 is the filing. This book is the company’s own record.

  • Charges

    Section 85

    Every charge, including one the Registrar has not yet registered. The MCA certificate does not replace this book.

  • Significant beneficial owners

    Section 90 and the SBO Rules

    The natural person behind the holding. BEN-2 is the return. The register is kept whether or not the return is late.

  • Contracts in which directors are interested

    Section 189

    The contracts section 184 requires the director to disclose. It is not an MCA form.

Who may look

Section 94 lets a member inspect the registers the section covers, during business hours, for the time the section allows. A copy can be asked for. Refusing inspection is a default of its own. It is not cured by saying the form was filed with the Registrar.
