Director KYC
Whose job is DIR-3 KYC, and what happens if it is late?
The short answer
Rule 12A. If the mobile, email and address have not changed, the annual web KYC is enough. If they have changed, the full e-form is required. A late KYC deactivates the DIN, and a deactivated DIN cannot be appointed in DIR-12.
Every person who holds a DIN. The company does not file it for them.
Not yet verified against the latest textAct-sourced — Rule 12A of the Appointment and Qualification of Directors Rules. The cycle beyond the annual date is not re-verified here.
Step by step
1
The person’s login
Not the company login. Every DIN holder files, including a person who has resigned but still holds the DIN.
2
Web KYC if nothing changed
Mobile, email and address unchanged: the web service, with the director’s own OTP. The standing date is 30 September.
3
E-form if something changed
A new mobile, email or address is the full form, certified by a professional and signed with the DSC.
4
If it is late
The DIN is deactivated. The late fee in the rules, commonly ₹5,000, is what reactivates it. A deactivated DIN cannot be used on DIR-12.
Forms
- DIR-3 KYC — The person’s filing, not the company’s.
Papers
- PAN and Aadhaar matching the DIN
- The director’s own mobile and email
Where this filing fails
- A company secretary cannot complete web KYC with the company’s phone.
- The late fee stated in the rules, commonly ₹5,000, is what reactivates the DIN. Paying it is not a substitute for the filing.
