Change the name
How does the name change, and what is different for a section 8 company?
The short answer
Reserve the name, pass a special resolution, file MGT-14, apply in INC-24. The name is effective when the fresh certificate is issued. The CIN does not change.
A change of the name in the memorandum. Dropping the word Private because the company is converting is the conversion item, not this one.
VerifiedAct-sourced — Sections 4 and 13.
Step by step
1
Reserve
The new name has to pass section 4 before anyone prints stationery.
2
Special resolution and MGT-14
Section 13, within 30 days. One SRN.
3
INC-24
A second SRN. The Registrar issues a fresh certificate. The CIN does not change. Use the old name until that certificate is out.
4
Sign, upload, pay
A director submits the web form at mca.gov.in as a business user. The SRN appears in My Application. Download the PDF, sign it with the DSC already associated to the DIN, DPIN, PAN or membership number on the form, upload that PDF against the same SRN, and pay.
